Whistleblowing

The companies within the NewPrinces Group have implemented an internal whistleblowing reporting system in accordance with Legislative Decree No. 24/2023, The system enables the reporting of breaches of national or European Union laws and regulations, as well as unlawful conduct or significant irregularities.

Scope of Reports
The whistleblowing reporting channel is intended exclusively for reporting:

  • breaches of national or European Union laws or regulations; and
  • acts, omissions or conduct that may harm the public interest or the integrity of NewPrinces Group companies, in accordance with the provisions of Legislative Decree No. 24/2023.

For example, reports may concern:
  • breaches of national or European Union laws and regulations, committed in connection with an employment or professional relationship;
  • unlawful conduct relevant under Legislative Decree No. 231/2001, or breaches of the organisational, management and control models adopted by the Group companies in accordance with applicable legislation;
  • breaches of the values and principles set out in the Group Code of Ethics and Conduct, where such breaches also constitute a violation of the law or are relevant under Legislative Decree No. 231/2001;
  • breaches of internal control principles, where connected to unlawful conduct or significant regulatory violations;
  • breaches of company rules or procedures that have resulted in, or may result in, administrative, accounting, civil or criminal offences, or that may cause significant harm to the integrity of Group companies or to the public interest.

Reporting Persons
Reports may be submitted by individuals who, in any capacity, have or have had an employment, professional or business relationship with a NewPrinces Group company, within the limits and under the conditions set out in Legislative Decree No. 24/2023.

Safeguards
The whistleblowing system provides the following safeguards:
  • confidentiality of the identity of the reporting person and of the individuals involved;
  • protection against any form of retaliation; and,
  • where applicable, the possibility to submit reports anonymously.

The NewPrinces Group has established separate internal whistleblowing reporting channels, depending on the company concerned.
