NewPrinces S.p.A. completes the acquisition of Plasmon

The brands Plasmon, Nipiol, BiAglut, Aproten and Dieterba officially become part of the NewPrinces Group. With the completion of the acquisition of the newly established company Plasmon S.r.l. from Heinz Italia S.p.A., the Group strengthens its position as a leading player in baby food and specialized nutrition, bringing one of the most iconic brands in the country’s food history back into Italian ownership.

The transaction also includes the integration of the Latina manufacturing site, a strategic facility where more than 1.8 billion Plasmon biscuits are produced each year, alongside a wide range of infant food products, including baby foods, purées, snacks, also in pouch format, and gluten-free products. The Latina site complements the Ozzano Taro (PR) plant, which specialises in the production of liquid and powdered infant formula and products for special dietary needs. Acquired in 2015 from Kraft Heinz, the Ozzano Taro facility, together with Latina, strengthens an integrated and coherent industrial platform.

This acquisition carries a strong strategic and symbolic value. Founded in Milan in 1902, Plasmon is a brand with over 120 years of history, listed in the Italian Register of Historic Trademarks of National Interest, and a long-standing benchmark of quality and trust for millions of Italian families. Within this journey, the Latina plant, inaugurated in 1969 as one of the most advanced facilities in Europe, represents a key milestone in the brand’s history and in the development of the Italian food industry.

The transaction significantly reinforces NewPrinces’ presence in a key, high value-added segment such as baby food and specialised nutrition, generating substantial industrial, commercial and innovation synergies. The integration of the brands and manufacturing sites will enable the Group to accelerate the development of new formulations through an integrated R&D centre, expand its premium and organic offering, increase production capacity and operational flexibility through the introduction of innovative formats, and support the internationalisation of Italian baby food by leveraging the Group’s commercial presence in over 60 countries. At the same time, NewPrinces will be able to broaden its product range to accompany consumers throughout all stages of weaning and further strengthen the role of the Ozzano Taro plant in the production of liquid and powdered infant nutrition.

In addition, Plasmon S.r.l. has signed a 30-year license agreement with Kraft Heinz for the use of the Nutrimune technology and brand. The agreement grants exclusive rights for Italy, Vatican City and San Marino, and non-exclusive rights in other international markets. Nutrimune is a clinically studied postbiotic technology developed to support immune system function and gut health in children. Already featured in premium infant formulas across various countries, Nutrimune meets the growing demand for science-backed functional nutrition. Thanks to this agreement, NewPrinces will be able to integrate Nutrimune into future innovations under the Plasmon and Nipiol brands, enriching its offering in the area of advanced functional nutrition.
